ARTICLE I: NAME
1. This body shall be called the COUNCIL OF THE ALUMNI OF DARTMOUTH COLLEGE ("the Council").
Comment on Article I: No Change.
ARTICLE II: PURPOSES
1. The purposes of the Council shall be to give organization and aid for the highest efficiency to all efforts of the alumni of Dartmouth College for the benefit of the College and more particularly in the following respects: A. To act as a clearing house for alumni sentiment and the interchange of alumni ideas.
B. To encourage and maintain a relationship with the Board of Trustees of the College which provides opportunity for regular input of alumni concerns and for assistance to the Board of Trustees in the development of programs and policies.
C. To act as the official spokesman of alumni sentiment to the administration and as the avenue of approach by which the administration should have access to the alumni collectively.
D. To approve or disapprove projects put forth in the alumni name and to be the seat of authority in all such matters.
E. To initiate and carry on such other undertakings as are reasonably within the province of alumni activity, or to provide for their being carried on. Comment on Article II: Paragraph 1-B has been added, and the paragraphs hare been renumbered.
ARTICLE III: OFFICERS
1. The officers of the Council shall be a President, a President-Elect, and a Secretary-Treasurer.
2. The President-Elect shall be elected annually by the Council for a term of one year and shall automatically become President the following year. At the time of his or her election, the President-Elect shall be a Council member who has served no more than two years of his or biocurrent term on the Council. If the President-Elect assumes office as President at the end of his Or her term on the Council, he or she shall carry over as a full member of the Council during the one-year Presidential term. If the President-Elect is unable to serve as President, the vacancy in that office shall be filled in accordance with the regular procedure for filling vacancies.
3. The Secretary-Treasurer shall be elected annually by the Council.
4. The duties of the officers shall be such as usually appertain to the respective offices.

ARTICLE IV: COMMITTEES
1. Executive Committee. There shall be an Executive Committee consisting of the President, the President- Elect, the chairman of each of the Council's standing committees, and three other Council members appointed by the President. The Secretary-Treasurer shall sit with and aid the Committee as a non-voting member. The President shall serve as chairman of the Committee. During the intervals between meetings of the Council, the Committee shall exercise the powers of the Council, except that it shall not have the right to amend this Constitution.
2. Nominating and Alumni Trustee Search Committee.
A. There shall be a Nominating and Alumni Trustee Search Committee (hereinafter ' 'the Nominating Committee") consisting of the President, the President-Elect, the immediate past chairman of the Nominating Committee, and six other Council members to be elected by the Council, three per year, from a slate of at least nine candidates. These candidates shall be nominated by the Nominating Committee from Council members who have served no more than two years of their current terms on the Council. The elected members of the Committee shall serve twoyear terms and shall, if their terms as Council members expire after one year On the Nominating Committee, carry over for one year as a Nominating Committee member but not as a Council member. The Secretary-Treasurer shall sit with and aid the Nominating Committee as a nonvoting member.
B. The Nominating Committee shall make single nominations for the President-elect, the Secretary-Treasurer and each vacancy for at-large and undergraduate Council membership. It shall also make the nominations for membership on the Nominating Committee as stated in subsection A above of this Section 2 and for Alumni Trustee as provided in Article VIII of this Constitution.
C. The Nominating Committee shall appoint all members of the Council's standing committees, except as otherwise specified in this Constitution.
3. Other Committees. The Council shall have the following other standing committees: Alumni Awards, Alumni Continuing Education, Alumni Fund, Athletics, Bequest and Estate Planning, Class Organization, Enrollment and Admissions, Honorary Degrees, Public Relations, Regional Organization, and Student Life. The President may also, from time to time, appoint ad hoc committees for special purposes.
4. Chairmen and Vice-Chairmen of Committees. All standing committees, except the Executive Committee and the Alumni Fund Committee, shall elect their own chairmen and vice-chairmen for one-year terms at their meetings at the spring meetings of the Council. All such chairmen and vice-chairmen shall be persons whose term on the Council will not expire for at least the following year. The President shall serve as chairman of the Executive Committee and shall appoint the chairmen of ad hoc committees. The chairman of the Alumni Fund Committee, who shall serve for a two-year term, shall be nominated by the Nominating Committee following consultation with the President of the College, and shall be elected by the Council.
Comment on Article IV: This Article, most provisionsof which are new to the Council's Constitution represents an effort to incorporate specifically into theCouncil's governing document a committee systemthat for the most part already exists due to previousCouncil action. Under this proposed Article, the existing committee system would be changed in the following respects:
i. The Executive Committee membership will for thefirst time include ex officio the chairmen of all standing committees. Also, at-large members ofthe Executive Committee will be appointed by thePresident rather than by the Council.
ii. The membership of the Nominating and AlumniTrustee Search Committee will be elected by theCouncil from the Committee's slate of two candidates for each position. At present, the Committeeis in effect self-perpetuating since the Council routinely endorses its candidates for these andother committee assignments.
iii. The officers of most standing committees will be chosen by the membership of the respective committees. At present, the Nominating Commitselects all committee chairmen and vice-chairmen.
ARTICLE V: COUNCIL YEAR—MEETINGS 1. The Council year shall begin July 1 of each calendar
The Council shall meet not less than twice annually, once each in the fall and spring, at places and on dates set by the Executive Committee, provided that at least one meeting in each Council year shall be held in Hanover, New Hampshire.
Comment on Article V: No substantive change.
ARTICLE VI: MEMBERSHIP AND METHODOF SELECTION
1. All members of the Council, other than undergraduate members, must be voting members of the Association of Alumni of Dartmouth College.
2 Unless otherwise provided, the terms of all newly elected members of the Council shall commence on the first day of the Council year immediately following their election.
3. The Council shall consist of the following membership:
A. Thirty-six (36) persons elected by the graduated classes of the undergraduate College, to be chosen as follows: Each class having its 60th or earlier reunion shall elect, at each such reunion, a class member to serve on the Council for a three-year term.
B. Nine (9) persons elected at-large by the Council for staggered three-year terms.
C. Three (3) persons elected by the Dartmouth Club Officers Association from its own membership for staggered three-year terms. At least one of these three persons shall represent the club presidents and at least one shall represent the club secretaries.
D. Six (6) persons representing the associations of class officers, with each of the following six associations to elect from its own membership one member for a threeyear term: Class Chairmen & Presidents, Class Secretaries, Class Treasurers, Class Head Agents, Class Newsletter Editors, and Class Bequest & Estate Planning Chairmen.
E. Three (3) persons representing the alumni of the Professional Schools, with the Amos Tuck School of Business Administration, the Dartmouth Medical School, and the Thayer School of Engineering each electing from among their respective alumni one member for a threeyear term.
F. One (1) person elected by the General Faculty of Dartmouth College, from its own numbers, for a two-year term.
G. Two (2) persons elected by the Council from the undergraduate classes for a one-year term.
H. One (1) person elected by the Athletic Council from its own number for a one-year term.
I. The Secretary-Treasurer of the Council.
J. The Chairman of the Alumni Fund for the term of such chairmanship.
K. The President of the Council, if his or her other Council membership at the time of election expires before completion of his or her Presidential term (see Section 2 of Article III above).
L. Twenty-three (23) persons elected from the following Geographical regions for single terms of three years:
Region I (3 members): Connecticut, Maine, Massachusetts, New Hampshire, Rhode Island, Vermont and that part of Canada including Quebec and the Provinces to the east.
Region II (3 members): New Jersey, New York, Pennsylvania, the Canadian Province of Ontario, all outlying possessions of the United States, and all foreign countries other than Canada, Mexico and the Philippines.
Region III (3 members): Illinois, Indiana, Michigan, Ohio.
Region IV (3 members): lowa, Minnesota, Montana, Nebraska, North Dakota, South Dakota, Wisconsin, and the Canadian Provinces of Manitoba and Saskatchewan.
Region V (4 members): Alabama, Delaware, District Of Columbia, Florida, Georgia, Kentucky, Maryland, Mississippi, North Carolina, South Carolina, lennessee, Virginia, West Virginia.
Region VI (3 members): Arizona, Arkansas, Colorado, Kansas, Louisiana, Missouri, New Mexico. Oklahoma, Texas, Utah, Wyoming. Region VII (4 members): Alaska, California, Hawaii, Idaho, Nevada, Oregon, Washington, the Philippines, Mexico, and the Canadian Provinces of Alberta, British Columbia, the Yukon and the Northwest Territories.
As determined by the Council, each Region will be divided into Election Districts from each of which members of the Council will be elected. Boundaries of the Election Districts in each Region will be established from time to time by the Alumni Council upon recommendation of its Executive Committee. Elections in such Election Districts shall be conducted pursuant to procedures adopted by the Council upon recommendation of its Executive Committee.
4. A person who has served as a Council member shall not be eligible to serve again for nine years after his or her earlier term expires. This provision shall not apply (i) to bar election to Council membership of any person whose most recent Council service was as an undergraduate or Athletic Council representative or (ii) to bar election to fill the positions for the Athletic Council representative, the Secretary-Treasurer of the Council, and the Alumni Fund Chairman.
Comment on Article VI: This Article increases themembership of the Council from 61 to 86, with suchincrease being due to the introduction of representatives of the Classes. The following is a comparison ofthe present and proposed membership of the Council:

The extensive language in the Council's present Constitution covering procedures for electing representatives of Geographical Regions has been replaced with a provision calling for the adoption of such proceduresby the Council.
ARTICLE VII: VACANCIES
1. The Council shall have the power, by election at a Council meeting or by mail ballot, to fill any vacancy that may occur, during their elected terms, among its officers or among members serving in Council positions that are filled by Council election.
2. Vacancies occurring during their elected terms among other members of the Council shall be filled by the organizations or bodies that originally elected such members.
3. Any person elected to fill any vacancy under this Article VII shall serve in such position for the balance of the term of the person whose vacancy he or she is filling. Comment on Article VII: No substantive change.
ARTICLE VIII: ALUMNI TRUSTEE NOMINATIONS
1. The Council shall carry out the responsibility assigned to it under the Constitution of the Association of Alumni of Dartmouth College with respect to the nomination of Alumni Trustees. *2.
2. The Nominating Committee shall be responsible (i) for reviewing and evaluating the qualifications of alumni proposed for nomination for the position of Alumni Trustee and (ii) for recommending to the Council the name of one candidate for nomination for each Alumni Trustee vacancy.
Comment on Article VIII: This new provision will reflect for the first time in the Council's Constitution itssignificant role in the nomination of Alumni Trusteesof the College.
ARTICLE IX: ALUMNI PETITIONS
1. Any twenty-five or more voting members of the Association of Alumni of Dartmouth College may, by signing a written petition, present an issue to the Council for its consideration. Such issue must be relevant to the purposes of the Council as set forth in Article II of this Constitution. The Executive Committee shall have the power to determine the relevancy of any such issue.
2. Any such relevant issue shall be considered by the Council at its next meeting, provided that the petition has been presented to the Council through its SecretaryTreasurer at least sixty days prior to such meeting. Representatives of the signers of the petition may be present at the meeting to present and discuss the issue raised by the petition.
Comment on Article IX: This new provision givesalumni for the first time a right to place an issue beforethe Council by petition for its consideration.
ARTICLE X: QUORUM
1. A majority of the membership of this Council shall constitute a quorum.
Comment on Article X: No change.
ARTICLE XI: AMENDMENTS
1. This Constitution may be amended at any meeting of the Council by a two-thirds vote of the members present and voting, provided that notice of the amendment has been included in the notice of the meeting. Comment on Article XI: At present, the Constitutionof the Council can only be amended by the Associationof Alumni. By approving this portion of the proposednew Constitution, the Association will be delegating tothe Council to hereafter amend its own Constitution bya two-thirds vote.
ARTICLE XII: 1982-1985 TRANSITION PERIOD
Various temporary provisions for the orderly transition of Council membership is provided in this article and is available upon request.
Comment on Article XII: This temporary provisionallows for an orderly transition from the Council membership as presently constituted to the proposed newCouncil to be fully instituted as of July 1, 1985.
TO: Alumni of the College FROM: Jonathan Strong '56, President Dartmouth Alumni Council The Alumni Council has reported from time to time on the results of a self-study designed to strengthen all activities conducted by the Council as the representative group of the alumni body. A Special Study Committee, chaired by Stanley Smoyer '34, of Princeton, New Jersey, and Biake Hering '53, of Portland, Oregon (the full membership of which is listed below), has gjiade important recommendations in respect to certain revisions in the Council's Constitution. Now the fu 1 Alumni Council has voted its approval for presentation to all alumni at the Annual Meeting of the Association of Alumni in June. Perhaps the most important recommendation is the enlargement of the Alumni Council from 61 to 86 members which permits direct class representation along with traditional regional representation. This, we believe, will substantially assist the communications function to and from the alumni body. Councilors are likely to be well-known within their class or club and can report through various class and club communication outlets already established. A second important provision in the proposed A lumni Council Constitution simplifies the amending procedure. This and other changes are shown below in the annotated notes. The Constitution will be presented at the Annual Meeting of the Association of Alumni, Saturday, June 12. 1:30 p.m., in the Spaulding Auditorium. At that time, Alden Guild "52, President of the Association of Alumni, will preside and call for a vote following presentation and discussion. Alumni of the College are invited to the Annual Meeting of the Association, and are invited to send to my attention in advance any comments or suggestions. I am very pleased to be presenting the Constitution in its amended form. It will permit the Alumni Council to operate with greater effectiveness, in my opinion, and also take advantage of the many thoughtful ideas that have been presented to the Council by individual alumni and members of the Special Study Committee.
